PUBLIC OFFER AGREEMENT 

ON PROVISION OF ONLINE ADDITIONAL EDUCATIONAL  SERVICES 

Tashkent, Republic of Uzbekistan 

Valid from “16” December 2025 

 

This Public Offer (hereinafter – the “Offer”) is addressed to an indefinite number of individuals and constitutes a Public Offer of “SIGMA SOFTWARE TASHKENT” FE LLC, TIN 312076888, located at Tashkent city, Olmazor district, Yangi Sebzor MFY, Sebzor ko‘chasi, 4-b uy, acting on the basis of the Notification (Xabarnoma) No.1182236 on commencement of extracurricular educational activity (hereinafter – the “Contractor”), to enter into an agreement on the provision of online additional educational services (hereinafter – the “Agreement”) under the following terms: 

 

GENERAL 

The Acceptance of this Offer shall be considered the Customer’s payment for the online educational services on https://university.sigma.software/ or taking any action that clearly indicates their intention to use or access the Services. 

By accepting this Offer, the Customer agrees to all terms of the Agreement in the form they appear in this text. 

By accepting this Offer, the Customer confirms that the terms of this Agreement do not restrict their lawful rights and interests under the legislation of the Republic of Uzbekistan. 

The Contractor provides online educational additional services through its website https://university.sigma.software/ (hereinafter – the “Site”). Such services are provided in the form of online educational courses (hereinafter – the “Courses”), which may include pre-recorded video lessons, live online sessions, learning materials, tasks, and other components as determined by the Contractor. 

The Contractor does not provide academic education or state-recognized qualifications. The Courses constitute non-formal education in a form of additional educational activities under the Law of the Republic of Uzbekistan “On Education”.

Hereinafter, the Contractor and the Customer are collectively referred to as the “Parties”, and individually – a “Party”. 

 

  1. SUBJECT

1.1. Under this Agreement, the Contractor provides online educational services in the form of the selected Course (hereinafter – the “Services”), and the Customer undertakes to accept and pay for the Services in accordance with this Agreement. 

1.2. General information about the Course, including its name, a brief description of the Course, the service fee, the general duration of the Course and the anticipated start date, is made available to the Customer on the Site before the conclusion of this Agreement. Detailed Course information, including the schedule of classes, access conditions, specific materials, and other program content required for participation, is provided to the Customer after this Agreement is deemed to be executed and the Customs has made a payment. 

 

  1. COST OF SERVICES AND SETTLEMENTS

2.1. The cost of Services is set by the Contractor through publication on the Site. The published fee remains valid until changed and applies to Customers who have paid prior to the effective date of such change. 

2.2. Services are paid on the basis of 100% advance payment, unless otherwise stated for a specific Course. 

2.3. Payments are made in the national currency of the Republic of Uzbekistan – Uzbek sum (UZS). 

2.4. The Customer bears responsibility for the correctness of payment details. 

2.5. After submitting the application form on the Site, the Customer may pay for the Services using: 

– online payment systems available on the Site; or 

– an invoice sent to the Customer’s email, which must be paid within 2 (two) banking days. 

The specific payment methods available to the Customer are determined by the Contractor at its sole discretion. 

2.6. The payment is deemed completed at the moment the funds are credited to the Contractor’s bank account. 

2.7. The Customer is entitled to a full refund if the refusal from the Agreement is communicated before the start of the Course, unless the legislation of the Republic of Uzbekistan specifies otherwise. 

2.8. Refunds in other cases are carried out in accordance with the legislation of the Republic of Uzbekistan. To avoid any doubts, Services that are free of charge are in any case provided without a possibility of refunding. If a discount has been applied at payment, the amount of the refund shall be not more than the amount actually paid. 

2.9. Refunds are processed within up to 10 (ten) working days from the date of receipt of the Customer’s notification, which shall include the Customer’s full and correct bank details for which Customer takes full responsibility.  

2.10. The Services are considered fully effected when they are provided in accordance with the plan communicated to the Customer at the beginning of the Course, unless amendments were applied later.  

 

  1. RIGHTS AND OBLIGATIONS

3.1. The Contractor undertakes to: 

3.1.1 Provide the Services properly, in the manner and to the extent provided for in this Agreement; 

3.1.2 Provide the Customer with the materials required for the effective provision of Services, in the scope determined by the Contractor at its sole discretion; 

3.1.3 Upon completion of the Services delivery, the Contractor may provide the Customer with a certificate of Course completion; 

3.1.4 Process refunds in accordance with this Agreement.  

3.2.1 Get the data from the Customer which are necessary for the Contractor to provide the Services according to the terms of this Agreement; 

3.2.2 Unilaterally make changes to this Agreement, change the fee for the Services, as well as other conditions, with prior publication of the changes on the Site. In this case, the change in the volume of the Services actually paid is not allowed; 

3.2.3 In the case of providing Services online and at the discretion of the Contractor, the Contractor may make a video of the relevant educational Course and provide access to the Customer through the Site or other communication channels chosen by the Contractor.  

3.3. The Customer undertakes to: 

3.3.1. Responsibly follow the training instructions of the Contractor, attend classes, and perform practical tasks and homework; 

3.3.2. Carefully treat the property and intellectual property of the Contractor, indemnifying any damage in accordance with the legislation of the Republic of Uzbekistan;  

3.3.3. Not to publish, not to transfer to any third parties and not to use for commercial or non-commercial purposes  any methodical materials provided to the Customer during provision of the Services;  

3.3.4. Not to copy, not to store, not to transfer to any third parties, not to use for commercial or non-commercial purposes, not to distribute on the Internet any materials and videos of the Courses provided to the Customer by the Contractor; 

3.3.5 Not to share their credentials used to access the personal account on the Site (that is, login and password) with any third parties.  

3.4. The Customer is entitled to: 

3.4.1. Receive the Services stipulated in this Agreement; 

3.4.2. Require the Contractor to comply with the terms of this Agreement;  

3.4.3. Refuse the Services, with the right to demand a refund of the payment made, in the order stipulated in Section 2 of this Agreement. 

 

  1. LIABILITY OF THE PARTIES

4.1. The Contractor is not liable for non-performance or improper performance caused by third parties (Internet service providers, communication operators, etc.). If the Contractor, for any reason, does not provide the Services within the time specified, the Contractor’s liability is limited to providing the Services within a new reasonable timeframe. 

4.2. The Contractor is not responsible for the way the Customer will use the information received during the provision of the Services and the results of its use by the Customer. 

4.3. The aggregate liability of the Contractor under the Agreement for any litigation or claim as for the Agreement or its performance, is limited to the amount of the payment made to the Contractor by the Customer under this Agreement.  

4.4. For non-performance or improper performance of obligations, the Parties shall be liable in accordance with the legislation of the Republic of Uzbekistan. 

4.5. The Customer is liable for violation of clause 3.3., including by paying compensation determined by the Contractor based on damages actually caused. 

4.6. Disputes shall be resolved through negotiations. 

4.7. Issues not regulated by this Agreement shall be governed by the legislation of the Republic of Uzbekistan. All disputes non resolved by means of negotiations shall be transferred to the relevant court at the Contractor’s location. 

 

  1. FORCE MAJEURE

5.1 The Parties shall not be liable for non-performance or improper performance of obligations under this Agreement if they prove that this was due to force majeure, which arose after the conclusion of this Agreement as a result of extraordinary events that the Parties could not neither anticipate nor prevent with reasonable measures, and the Parties have made all possible measures within their capacity to ensure the proper performance of their duties. Force majeure circumstances include: military action, the influence of natural forces (earthquake, flood, etc.), decisions of government agencies. The Parties shall notify each other of the occurrence of force majeure within three working days from the date of their occurrence.  

5.2 In the event of force majeure, the term of performing the obligations under this Agreement is postponed for the period during which such circumstances and their consequences act. 

 

  1. VALIDITY

This Agreement enters into force upon acceptance by the Customer and remains valid until full performance by the Parties. 

 

  1. PERSONAL DATA

7.1. The Customer’s personal data is processed in accordance with the Law of the Republic of Uzbekistan “On Personal Data”. 

7.2. By accepting this Agreement, the Customer consents to the processing of their personal data for the purpose of providing the Services. 

7.3. The Customer also expressly consents to the cross-border transfer of personal data to the Contractor’s affiliates and service providers involved in the provision of the Services, solely for the purpose of fulfilling this Agreement. 

7.4. The Contractor shall not disclose or transfer the Customer’s personal data to any third parties except (i) where such transfer is necessary for the provision of the Services, (ii) where the Customer has provided prior consent, or (iii) where such disclosure is required by applicable legislation. 

 

  1. LANGUAGE VERSION

In case of discrepancies between different language versions of this Agreement, the English version shall prevail.
